Position Summary

Legal Assistants, Investment Management, assist attorneys in the various transactional offerings within the group including preparing and verifying documents.

Essentials Duties and Responsibilities

Typical responsibilities include, but are not limited to, the following:

  • Review and process brokers’ submissions of prospective investors’ subscription documents
  • Coordinate with rotators and brokers in connection with legal review of subscription materials
  • Organize and track all correspondence between broker teams and rotators
  • Prepare and maintain internal master spreadsheets of all onshore/offshore subscription information
  • Revise subscription books throughout legal review process
  • Maintain online database of all subscription books
  • Assemble packets of signature pages
  • Update online database and internal master tracker, following new approvals
  • Coordinate with client for tax review of offshore subscription books
  • Upload recently edited offshore subscription books to data base for client’s tax review
  • Process client’s trackers and update internal trackers
  • Relay client’s comments to broker teams for outstanding orders
  • Prepare Schedule A of approved onshore/offshore subscription books in advance of closings
  • Run reconciliations of internal subscription information and data posted on data base
  • Assist with closing transaction and prepare closing sets
  • Form, amend, and dissolve corporations, limited partnerships, and limited liability companies
Qualifications / Position Requirements
  • Ability to manage a varied workload and meet deadlines
  • Must be punctual and reliable
  • Proficiency in MS Word, Excel, PowerPoint, Outlook, and other applications as needed
  • Strong interpersonal skills
  • Must be able to work collaboratively with attorneys and staff, demonstrating strong teamwork and a positive attitude
  • Excellent written and verbal communication skills
  • Ability to proofread typed material for typographical, spelling, and grammatical errors
  • Strong organizational skills and attention to detail
  • Ensure confidentiality of all the Firm’s and clients’ documentation and information
Education and/or Experience
  • Bachelor’s degree with a strong academic record is required
Compensation

The expected base salary for this position is $55,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
