Position Summary

Corporate Paralegals assist attorneys in various stages of corporate transactions including preparing necessary deal document.

Essentials Duties and Responsibilities

Typical responsibilities include, but are not limited to, the following:

  • Draft correspondence and documentation under attorney supervision
  • Assist with due diligence matters by organizing and reviewing documents
  • Revise, proofread and distribute draft agreements and other transactional documents
  • Prepare and coordinate signature packages
  • Obtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictions
  • Assist attorneys with pre-closing and closing transactions
  • Handle post-closing matters including the preparation of closing sets
  • Gather, organize and maintain precedent collections
  • Conduct factual research assignments and draft memoranda
  • Track and monitor financial regulator websites and circulate rule and other releases to the group, so they are updated in real time
  • Assist in the compilation and creation of presentations and memoranda
  • Coordinate with internal and external working groups to facilitate transaction execution
  • Monitor the filing of documents with the Securities and Exchange Commission and with stock exchanges
  • Prepare drafts of client bills and related documentation
Qualifications / Position Requirements
  • Ability to manage a varied workload and meet deadlines
  • Must be punctual and reliable
  • Proficient in MS Word, Excel, PowerPoint, Outlook and other applications as needed
  • Strong interpersonal skills
  • Must be able to work collaboratively with attorneys and staff, demonstrating strong teamwork and a positive attitude
  • Excellent written and verbal communication skills
  • Ability to proofread typed material for typographical, spelling and grammatical errors
  • Strong organizational skills and attention to detail
  • Ensure confidentiality of all the Firm’s and clients’ documentation and information
Education and/or Experience
  • Bachelor’s degree with a strong academic record is required
Compensation

The expected base salary for this position is $55,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
