Assistant Manager, Corporate Paralegals
Monday through Friday, 9:30 am – 5:30 pm (overtime as required)
Finance Legal Analysts primarily assist attorneys during the bidding phase of acquisition financing transactions, where an investment firm (“sponsor”) negotiates with potential lenders to finance the acquisition of a target company. Outside of acquisition financing deals, Finance Legal Analysts work on a variety of tasks, including the preparation and verification of transactional documents to comply with local regulations, assisting Davis Polk’s Finance attorneys with other client-related matters, and helping with the development of practice resources and other special projects.
Typical responsibilities include, but are not limited to, the following:
- Gather, organize, and compare terms from precedent deals
- Assist with preparation for client calls/meetings
- Take detailed notes during conference calls
- Revise, proofread, and distribute draft commitment papers and other transactional documents under attorney supervision
- Draft correspondence and documentation under attorney supervision
- Maintain and organize correspondence
- Assist with due diligence matters by organizing and reviewing documents
- Conduct factual research assignments and draft memoranda
- Perform lien searches with detailed review
- Prepare and file various liens in applicable jurisdictions
- Assist with reviewing collateral documentation
- Obtain charter documents and good-standing certificates from the Secretary of State in applicable jurisdictions
- Assist attorneys with pre-closing, closing, and post-closing transactions
- Prepare and coordinate signature packages
- Coordinate with internal and external working groups to facilitate transaction execution
- Handle post-closing matters, including the preparation of closing sets
- Assist with maintaining and organizing finance database of precedent deals
- Assist with the compilation and creation of presentations
- Ability to manage a varied workload, meet deadlines, and work well under pressure
- Must be punctual and reliable
- Proficient in MS Word, Excel, PowerPoint, Outlook, and other applications as needed
- Strong interpersonal skills
- Must be able to work collaboratively with attorneys and staff, demonstrating strong teamwork and a positive attitude
- Excellent written and verbal communication skills
- Ability to proofread typed material for typographical spelling, and grammatical errors
- Strong organizational skills, efficiency, and attention to detail
- Ensure confidentiality of all the Firm’s and clients’ documentation and information
Bachelor’s degree with a strong academic record is required
The expected base salary for this position is $65,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained.
