Assistant Manager, Corporate Paralegals
Monday through Friday, 9:30 am to 5:30 pm (overtime as required).
The Blue Sky Paralegal assists Blue Sky/FINRA Counsel, who leads the Firm’s blue sky and FINRA practice, with all aspects of Blue Sky and FINRA assignments across practice areas and offices and with day-to-day requests to improve utilization and ensure timely completion of tasks.
Typical responsibilities include, but are not limited to, the following:
- In collaboration with the Blue Sky Counsel, manage and assist with basic and advanced blue sky-related research and filings, while providing firm-wide blue sky-related assistance to attorneys and other professional staff, as needed.
- Demonstrate an advanced proficiency, and excels, in handling blue sky-related research and filings, including blue sky registrations and renewals, Form D filings, other exemption filings in the Electronic Filing Depository (EFD), Rule 701 research and filings, Section 4(a)(2) research and filings, other exemptions research.
- In collaboration with Blue Sky Counsel, serve as a blue sky resource for attorneys and other professional staff, firm-wide.
- Maintain knowledge of up-to-date practices regarding blue sky laws and basic filing procedures.
- Responsible for timely filings and renewals of all blue sky notices and securities registrations.
- Familiar with VitalLaw/CCH Blue Sky Law Reporter topics and state comparison charts.
- Work closely with FINRA Counsel on all FINRA matters firm-wide.
- Prepare drafts of FINRA filings in the Private Offering System for all transactions firm-wide requiring such filings.
- Prepare FINRA fee memos and assist attorneys with related work.
- Coordinate FINRA fee payments.
- In collaboration with FINRA Counsel, serve as a FINRA resource for attorneys and other professional staff firm-wide.

- Proficiency in MS Word, Excel, PowerPoint, Outlook and other applications as needed
- Must be able to work collaboratively with lawyers and staff, demonstrating strong teamwork and a positive attitude
- Bachelor’s degree with a strong academic record is required
- Minimum 2 plus years related experience preferred
- Knowledge of the Electronic Filing Depository and FINRA Public Offering Systems is preferred
The expected base salary ranges from $75,000 - $120,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained.
