Davis Polk is advising senior management of Institutional Shareholder Services Inc. in connection with its $720 million acquisition by Genstar Capital from Vestar Capital Partners. The transaction is expected to close by the early fourth quarter of 2017, subject to customary closing conditions.

ISS is a provider of corporate governance and responsible investment solutions for asset owners, asset managers, hedge funds and asset service providers. Genstar Capital is a San Francisco, California-based private equity firm that has been actively investing in high quality companies for more than 25 years.

The corporate team includes partner John A. Bick. Partner Veronica M. Wissel and associate R. Scott Matarese are providing executive compensation advice. All members of the Davis Polk team are based in the New York office.
