Davis Polk advised Morgan Stanley in connection with its SEC-registered global offering of $3.5 billion aggregate principal amount of senior notes, consisting of $2.5 billion 2.50% fixed-rate notes due 2021 and $1 billion floating-rate notes due 2021.
