Davis Polk is advising Roper Technologies, Inc. on its $2.8 billion acquisition of Deltek, Inc. The transaction, which is expected to close prior to the end of this year, is subject to regulatory approval and customary closing conditions.

Roper designs and develops software—both software-as-a-service and licensed—and engineered products and solutions for health care, transportation, food, energy, water, education and other niche markets worldwide. Deltek is a global provider of software and information solutions for project-based businesses serving niche markets, including government contractors and professional services firms.
