DOJ clearance of IHS Markit $44 billion merger with S&P Global
We assisted IHS Markit in reaching a favorable agreement with DOJ
Davis Polk advised IHS Markit on its all-stock merger with S&P Global that valued IHS Markit at an enterprise value of $44 billion. Following a review of the transaction by the Department of Justice Antitrust Division, we reached an agreement with the DOJ which did not require the companies to make any additional divestitures beyond what they had already committed to in order to obtain regulatory approval in other jurisdictions.
On February 22, 2022, the merged company announced completion of the transaction and noted the addition of four members of the IHS Markit board to the S&P Global board.
The expanded S&P Global is a leading information services provider to a global customer base, with services across data and analytics, ratings, benchmarks, indices, commodities and energy, transportation, and engineering.
