Davis Polk advised EUSHI Finance, Inc., an indirect wholly owned subsidiary of Emera Incorporated, on its exchange of its new $499.8 million of 7.625% fixed-to-fixed reset rate junior subordinated notes due 2054, which have been registered under the Securities Act on Forms F-10 and S-4, for $499.8 million of 7.625% fixed-to-fixed reset rate junior subordinated notes due 2054, which were originally issued pursuant to Rule 144A and Regulation S under the Securities Act. Davis Polk also previously advised EUSHI Finance, Inc. on the original Rule 144A and Regulation S offering of the $500 million of 7.625% fixed-to-fixed reset rate junior subordinated notes.
