Gran Tierra Energy $150 million notes offering
The 9.5% senior notes are due 2029
Davis Polk advised the representatives of the initial purchasers in connection with a Rule 144A / Regulation S offering by Gran Tierra Energy Inc. (GTE) of $150 million aggregate principal amount of its 9.50% senior secured amortizing notes due 2029. The notes are unconditionally guaranteed by certain subsidiaries of GTE organized under the laws of Switzerland and are secured by the equity interests of the Swiss guarantors. The notes offered are a reopening of the $588 million of 9.50% senior secured amortizing notes due 2029 issued by Gran Tierra Energy Inc. on October 20, 2023, and February 6, 2024.
