We represented IFF on this defensive matter

Davis Polk provided corporate governance and defense advice to International Flavors & Fragrances (IFF) in connection with its cooperation agreement with Icahn Capital LP and its affiliates.  In connection with the agreement, Barry A. Bruno was elected to the IFF board as an independent director, effective February 8, 2022. With the addition of Mr. Bruno, the IFF board comprises 14 members.

IFF is an industry leader in food, beverage, scent, health and biosciences, science and creativity to create essential solutions for a better world. Mr. Bruno is Executive Vice President and Chief Marketing Officer of Church & Dwight Co., Inc., a role he has held since October 2021.

The Davis Polk corporate team included partners Louis Goldberg and Brian Wolfe and associates Lisa Ogust and Justin Peroff. All members of the Davis Polk team are based in the New York office.
