The exchange offers involve guaranteed senior notes due this year

Davis Polk advised the dealer managers in connection with exchange offers of 10.875% guaranteed senior notes due 2022 and 12.00% guaranteed senior notes due 2022, conducted by Haimen Zhongnan Investment Development (International) Co., Ltd. as offeror and Jiangsu Zhongnan Construction Group Co., Ltd. as guarantor. The exchange offers were reopened from the exchange offers closed on June 6, 2022.

Jiangsu Zhongnan Construction Group Co., Ltd. is a leading property developer and one of the top private construction companies in the PRC, focusing on developing residential properties in the Yangtze River Delta Region, Pearl River Delta Region and core cities in China and mainly engaged in building construction work in both public and private sectors by undertaking property construction projects and public facilities construction projects. Jiangsu Zhongnan Construction Group Co., Ltd. is listed on the Shenzhen Stock Exchange.
