Davis Polk is advising Morgan Stanley as financial adviser to Jive Software, Inc. in connection with its approximately $462 million acquisition by ESW Capital, LLC, through its affiliate Wave Systems. Following the acquisition, Jive will become a part of the Aurea family of companies. The acquisition is subject to customary closing conditions, including a majority of the outstanding shares having been tendered in the tender offer and regulatory approvals, and is expected to close in June 2017.
