J.M. Smucker $3.5 billion notes offering
The investment-grade debt offering comprises four tranches of notes
Davis Polk advised several underwriters in connection with an SEC-registered offering of $750 million aggregate principal amount of 5.900% notes due 2028, $1 billion aggregate principal amount of 6.200% notes due 2033, $750 million aggregate principal amount of 6.500% notes due 2043 and $1 billion aggregate principal amount of 6.500% notes due 2053 by The J. M. Smucker Company. The J. M. Smucker Company intends to use the proceeds of the offering to fund a portion of the purchase price for its pending acquisition of Hostess Brands, Inc.

Smucker Company is a leading consumer packaged goods company with a diverse product portfolio that includes brands such as Folgers, Dunkin, Café Bustelo, Jif, Smucker’s Uncrustables, Smucker’s, Meow Mix and Milk-Bone. Hostess Brands, Inc. is a leading sweet snacks company focused on developing, manufacturing, marketing, selling and distributing snacks in North America primarily under the Hostess and Voortman brands.
