Loma Negra Compañía Industrial Argentina Sociedad Anónima $1.1 Billion Initial Public Offering
Davis Polk advised the joint bookrunners and joint global coordinators in connection with the international initial public offering by Loma Negra Compañía Industrial Argentina Sociedad Anónima and Loma Negra Holding GmbH, as selling shareholder, of an aggregate of 53,530,000 American Depositary Shares (including the full exercise of the underwriters’ overallotment option), each representing five of its ordinary shares, at a price per ADS of $19.00. The international offering was part of a global offering that also included a concurrent offering of 21,000,000 ordinary shares in Argentina at a price of $3.80 per share. The global offering raised gross proceeds of $1.1 billion. The ADSs are listed on the New York Stock Exchange under the symbol “LOMA.”
Loma Negra is an Argentine cement producer. Loma Negra produces and distributes cement, masonry cement, aggregates, concrete and lime to wholesale distributors, concrete producers and industrial customers, among others. The company owns 51% of Yguazú Cementos S.A., one of the two leading cement producers in Paraguay. The company is controlled by the InterCement Group, one of the largest cement producers in the world.
