Medtronic €3 billion notes offering

Davis Polk advised the representatives of the several underwriters in connection with an SEC-registered offering of €3 billion aggregate principal amount of notes by Medtronic, Inc. Medtronic, Inc. issued €850 million aggregate principal amount of 3.650% senior notes due 2029, €850 million aggregate principal amount of 3.875% senior notes due 2036, €600 million aggregate principal amount of 4.150% senior notes due 2043 and €700 million aggregate principal amount of 4.150% senior notes due 2053, fully and unconditionally guaranteed by Medtronic plc and Medtronic Global Holdings S.C.A.
