We are advising One Planet Group on the transaction

Davis Polk is advising One Planet Group LLC in connection with a private placement of up to 2,915,451 shares of Class A common stock of Inspirato Incorporated, at a price of $3.43 per share, and an equivalent number of warrants. One Planet Group also has the option to purchase up to $2.5 million of additional shares. In connection with the investment, One Planet Group’s President and CEO Payam Zamani became the CEO and Chairman of Inspirato.

Inspirato is a luxury travel company that provides exclusive access to a managed and controlled portfolio of curated vacation options, delivered through an innovative model designed to ensure the service, certainty and value that discerning customers demand. The Inspirato portfolio includes branded luxury vacation homes, accommodations at five-star hotel and resort partners and custom travel experiences. Inspirato’s shares are listed on Nasdaq under the symbol “ISPO.”

One Planet Group is a closely held private equity firm that owns a suite of technology and media businesses while also investing in early-stage companies. One Planet Group was founded by tech entrepreneur Payam Zamani in 2015.
