We advised the initial purchasers on the Regulation S offering

Davis Polk advised the initial purchasers in connection with the Regulation S offering of $300 million principal amount of 8.95% senior notes due 2022 by RongXingDa Development (BVI) Limited. The notes are guaranteed by RiseSun Real Estate Development Co., Ltd.
