Seer $336 million IPO and concurrent private placement
Davis Polk advised the representatives of the several underwriters in connection with an initial public offering of 10,592,106 shares of Class A common stock of Seer, Inc. at $19.00 per share (which includes the exercise in full by the underwriters of their option to purchase up to 1,381,579 additional shares), for total gross proceeds of $201 million. The Class A common stock is listed on the Nasdaq Global Select Market under the symbol “SEER.”
Concurrent with the public offering, Davis Polk also advised the placement agents in connection with a private placement of 7,105,262 shares of Seer’s Class A common stock to certain institutional investors. Gross proceeds from the private placement totaled $135 million.
Based in Redwood City, California, Seer aims to enable exceptional scientific outcomes by commercializing transformative products for researchers to unlock deep, unbiased biological information. Seer’s initial product, the Proteograph Product Suite, will leverage proprietary engineered nanoparticle technology to provide unbiased, deep, rapid and large-scale access across the proteome.
