Davis Polk advised the joint book-running managers in connection with an SEC-registered common stock offering of 45,000,000 shares of common stock of Synergy Resources Corporation. The net proceeds from the offering were approximately $251.8 million, which Synergy Resources Corporation intends to use to finance a portion of its contemplated acquisition of additional assets in the Wattenberg Field in Colorado.

Headquartered in Denver, Colorado, Synergy Resources Corporation is a domestic oil and natural gas exploration and production company. Its core area of operations is in the Denver-Julesburg Basin, which encompasses Colorado, Wyoming, Kansas and Nebraska.
