The investment-grade debt offering consists of three tranches

Davis Polk advised the lead managers on an SEC-registered offering by TD Bank of $850 million aggregate principal amount of its 4.980% senior notes due 2027, $500 million aggregate principal amount of its floating-rate senior notes due 2027 and $900 million aggregate principal amount of its 4.994% senior notes due 2029, under its medium-term notes program.
