Davis Polk is advising JP Morgan as financial adviser to Fuel Systems Solutions Inc. in connection with its $351 million merger with Westport Innovations Inc. Subject to the satisfaction of closing conditions and receipt of required approvals, the companies anticipate closing the transaction in the fourth quarter of 2015.

Fuel Systems Solutions is a leading designer, manufacturer and supplier of proven, cost-effective alternative fuel components and systems for use in transportation and industrial applications. Established in 1995, Westport engineers advanced high-performance, low-emission fuel system and vehicle technologies utilizing gaseous fuels for transportation and industrial applications.
