Adam’s executive compensation practice focuses principally on private equity matters, including advising on the executive compensation aspects of private equity transactions and on compensation matters for portfolio companies.

Adam has extensive experience advising on the executive compensation and ERISA aspects of a wide range of corporate transactions, including mergers and acquisitions, initial public offerings and spinoffs. He also advises public and private companies on the design, implementation and administration of equity and cash compensation arrangements; the negotiation of executive employment agreements, severance and change in control arrangements; and related corporate governance and disclosure matters.

He has negotiated individual compensation packages for executives of large publicly traded companies, as well as for executives of portfolio companies with private equity sponsors.
