Davis Polk lawyers speak at PLI’s 2024 “Tax Planning” programs
Davis Polk Tax practice head David Schnabel and partners Ethan Goldman and Corey Goodman will be among the speakers at Practising Law Institute’s 2024 “Tax Planning for Domestic & Foreign Partnerships, LLCs, Joint Ventures & Other Strategic Alliances” programs. The program will be held in New York on May 7-9, 2024 and in Los Angeles on June 3-5, 2024.
- David will speak on the “Topside Planning for, and Passthrough Investments by, Private Equity Funds” at each program. Topics discussed will include strategies to accommodate the tax objectives of fund managers and investors, issues raised in cross-border investing, and private equity transactions and exit strategies.
- Ethan will speak on the “Compensatory Interests and Other Arrangements” panel at the New York program. Topics discussed will include different types of profits interests and modifications, the tax consequences of receiving a capital or profits interest in a partnership in exchange for services, and Section 1061 provisions as well as how to manage drafting issues.
- Corey will speak on the “The Umbrellas of Subchapter K” panel at the Los Angeles program. Topics discussed will include the use of “umbrella” partnerships for UPREIT and UP-C structures, situations in which a partnership will be characterized as a publicly traded partnership, and tax receivable agreements.
