The Senior Paralegal, Corporate – Finance assists attorneys in various stages of corporate transactions and provides a vital service in preparing and verifying necessary documents to comply with local regulations.
Typical responsibilities include, but are not limited to, the following:
- Draft correspondence and documentation under lawyer supervision
- Assist with due diligence matters by organizing and reviewing documents
- Revise, proofread, and distribute draft agreements and other transactional documents
- Gather, organize, and maintain precedent collections
- Assist with reviewing collateral documentation
- Perform lien searches with detailed review
- Prepare and file various liens with applicable jurisdictions
- Prepare, distribute, and collect signature pages
- Obtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictions
- Assist attorneys with pre-closing and closing transactions
- Handle post-closing matters, including the preparation of closing sets
- Conduct factual research assignments and draft memoranda
- Coordinate with internal and external working groups to facilitate transaction execution
- Ability to manage a varied workload and meet deadlines
- Must be punctual and reliable
- Proficient in MS Word, Excel, PowerPoint, Outlook, and other applications as needed
- Strong interpersonal skills
- Must be able to work collaboratively with lawyers and staff, demonstrating strong teamwork and a positive attitude
- Excellent written and verbal communication skills
- Strong organizational skills and attention to detail
- Ability to proofread typed material for typographical, spelling, and grammatical errors
- Ensure confidentiality of all the Firm’s and clients’ documentation and information
- Bachelor’s degree with a strong academic record is required
- Minimum 3 plus years related experience preferred
The expected base salary for this position ranges from $100,000 – $120,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained.
