Airbus potential acquisition of certain Spirit AeroSystems activities

Davis Polk is advising Airbus SE in connection with its binding term sheet agreement announced on July 1, 2024 with Spirit AeroSystems Holdings, Inc. in relation to a potential acquisition of major activities related to Airbus’s commercial aircraft activities.
Simultaneously with the execution of the binding term sheet, The Boeing Company and Spirit AeroSystems entered into a merger agreement pursuant to which Boeing will acquire Spirit AeroSystems, subject to customary closing conditions.
