We advised the initial purchasers on the Regulation S offering

Davis Polk advised the initial purchasers in connection with a $120 million Regulation S offering by China South City Holdings Limited of its 10.75% senior notes due 2023, to be consolidated and form a single series with the issuer’s $250 million 10.75% senior notes due 2023.

CSC is a developer and operator of large-scale, integrated logistics and trade centers in the PRC. CSC currently has eight projects in different stages of development located in regional economic hubs in Shenzhen, Nanning, Nanchang, Xi’an, Harbin, Zhengzhou, Hefei and Chongqing, China. CSC is listed on the Hong Kong Stock Exchange.
