Clariane €92 million reserved capital increase and €237 million rights offering

Davis Polk advised Clariane SE on a reserved share capital increase including the issuance of 35,423,076 new shares with a par value of €0.01, for an aggregate amount of €92 million and a rights offering of 213,588,456 new shares with a par value of €0.01, at a subscription price of €1.11 per new share, for an aggregate amount of €237 million, pursuant to a public rights offering in France and private placements to institutional investors outside France, including in the United States.
Clariane, headquartered in Paris, France, operates in three main areas of activity: long-term care nursing home, specialized care facilities and services, and alternative living solutions serving approximatively 900,000 residents and patients in six European countries.
