Davis Polk Advises Advanced Semiconductor Engineering on Its Tender Offers to Acquire Shares of SPIL
Davis Polk is advising Advanced Semiconductor Engineering, Inc. in connection with its tender offers in the Republic of China and the United States for common shares and American depositary shares of Siliconware Precision Industries Co., Ltd. at a price of NT$45 per common share and NT$225 per ADS payable in the equivalent amount of U.S. dollars, respectively. ASE plans to acquire an estimated maximum number of 779,000,000 common shares of Siliconware (including common shares represented by ADSs), equivalent to approximately 25% of the common shares issued by Siliconware.
