Davis Polk is advising DouYu International Holdings Limited in connection with its stock-for-stock merger with HUYA Inc. Upon closing of the transaction, Huya will acquire all the outstanding shares of DouYu, including ordinary shares represented by American depositary shares, and DouYu will become a wholly owned subsidiary of Huya. The transaction is subject to the approval of the shareholders of DouYu, regulatory filings and other customary closing conditions.

DouYu operates its platform on both PC and mobile apps, through which users can enjoy immersive and interactive games and entertainment live streaming. Huya is a leading game live streaming platform in China with a large and active game live streaming community. Huya cooperates with e-sports event organizers, as well as major game developers and publishers, and has developed e-sports live streaming as one of the most popular content genres on its platform.
