We advised the initial purchasers on the Rule 144A / Regulation S senior notes offering

Davis Polk advised the initial purchasers in connection with the Rule 144A / Regulation S offering of $800 million 3.375% guaranteed senior notes due 2026 by ENN Clean Energy International Investment Limited (“ENN Clean Energy”), guaranteed by ENN Natural Gas Co., Ltd. (“ENN Natural Gas”).

ENN Natural Gas, whose shares are listed on the Shanghai Stock Exchange, is a leading privately owned clean energy company in China with an integrated upstream and downstream business portfolio. Its business primarily comprises of a natural gas retail business, integrated energy business, natural gas production, wholesale and direct sales, extended business construction and installation and energy production business.
