Davis Polk advised the initial purchasers in connection with the Regulation S offering of $250 million 7.50% guaranteed senior notes due 2021 by ENN Clean Energy International Investment Limited (the “New Notes”), guaranteed by ENN Ecological Holdings Co., Ltd., and to be consolidated and form a single class with the $250 million 7.50% guaranteed senior notes due 2021 issued on February 27, 2019 upon the occurrence of the SAFE Completion Event with respect to the New Notes.

ENN Ecological, whose shares are listed on the Shanghai Stock Exchange, is a leading clean energy products and services provider in China with an integrated and diversified business portfolio. Its business primarily comprises of energy engineering services, production, sales and trading of energy and chemical products, coal products and pesticide and veterinary medicine and LNG production, sale and investment.
