FTC clearance of Campbell Soup $2.7 billion acquisition of Sovos Brands
We secured regulatory approval for the acquisition
Davis Polk advised Campbell Soup Company on its $2.7 billion acquisition of Sovos Brands, Inc., announced in August 2023. In October 2023, the Federal Trade Commission requested additional information as part of its review of the transaction under the Hart-Scott-Rodino Act. At the conclusion of the FTC’s investigation, Campbell completed its acquisition of Sovos on March 12, 2024 with no antitrust remedies imposed by the FTC.

Sovos products include a variety of pasta sauces, dry pasta, soups, frozen entrées, frozen pizza and yogurts, all of which are sold in North America under the brand names Rao’s, Michael Angelo’s and noosa.
