Mizuho Financial Group $1.9 billion senior notes offering
The offering included fixed-to-fixed reset rate notes and floating-rate notes
Davis Polk advised the joint bookrunners and lead managers in connection with Mizuho Financial Group’s SEC-registered takedown offering of senior notes, which consisted of $700 million aggregate principal amount of 5.098% senior callable fixed-to-fixed reset rate notes due 2031, $900 million aggregate principal amount of 5.422% senior callable fixed-to-fixed reset rate notes due 2036 and $300 million aggregate principal amount of senior callable floating rate notes due 2031. The notes are structured to count as total loss-absorbing capacity (TLAC) under the Japanese TLAC regulations. The notes are listed on the Luxembourg Stock Exchange’s Euro MTF Market.
