NightDragon Acquisition $345 million IPO
Davis Polk advised the representative of the several underwriters in connection with the $345 million initial public offering of 34,500,000 SCALE units of NightDragon Acquisition Corp., which includes 4,500,000 SCALE units purchased pursuant the full exercise of the underwriters’ over-allotment option. Each SCALE unit had an initial offering price of $10 and consists of one share of Class A common stock and one-fifth of one redeemable warrant. The units were listed on the Nasdaq Capital Market under the symbol “NDACU.”
NightDragon Acquisition Corp. is a is a newly incorporated special purpose acquisition company (SPAC) formed for the purpose of effecting a merger, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. NightDragon intends to focus its search for prospective targets on the cybersecurity, safety, security and privacy sector.
