We advised Stellex Capital Management on the acquisition

Davis Polk advised Stellex Capital Management on its acquisition of Fox Brothers Holdings Group. Financial terms of the transaction were not disclosed. As part of the transaction, Fox Brothers will also merge with JA Jackson.

Stellex Capital Management is a middle-market private equity firm with offices in New York, London, Pittsburgh and Detroit, with over $2.8 billion in assets under management. The firm’s sectors of focus include aerospace, defense and government services, manufacturing, real economy and business services, transportation and logistics, food processing and tech-enabled services.

Fox Brothers Holdings Group provides services to the construction and infrastructure industry across the United Kingdom, including muck-away, haulage of aggregates, production of recycled aggregates, waste recycling, quarry operations and ready-mix concrete production.

JA Jackson is a U.K. quarry operator and producer of recycled aggregates and ready mixed concrete, with a view to generating synergies between all parts of its business.

Going forward, a key focus for Stellex will be to transform Fox Brothers into a fully integrated, circular economy construction materials solutions business, able to assist with the decarbonization of the construction materials supply chain.
