Davis Polk advised the joint lead managers and joint bookrunners in connection with the secondary offering of 73,211,900 shares of common stock of TERUMO CORPORATION. The shares are listed on the Tokyo Stock Exchange and were offered outside Japan pursuant to Rule 144A / Regulation S. The aggregate proceeds of the offering are approximately ¥182.5 billion (approximately $1.3 billion).

TERUMO is a leading medical device manufacturer with operations around the world providing medical products, equipment and services to patients, medical facilities and a variety of companies in the pharmaceutical industry.
