Wayfair $800 million senior secured notes offering
The high-yield notes are due 2029
Davis Polk advised the representative of the several initial purchasers, in connection with a Rule 144A / Regulation S offering by Wayfair LLC, a wholly owned subsidiary of Wayfair Inc., of $800 million aggregate principal amount of its 7.250% senior secured notes due 2029. The notes are guaranteed by Wayfair Inc. and certain of its subsidiaries.
