Davis Polk acted as special product counsel to the representatives of the initial purchasers in connection with a Rule 144A offering by Workiva Inc. of $300 million aggregate principal amount of its 1.125% convertible senior notes due 2026.

Workiva is a leading provider of cloud-based solutions for connected reporting and compliance. Workiva’s platform, Wdesk, is used by thousands of public and private companies, government agencies and higher-education institutions. Wdesk offers controlled collaboration, data linking, data integrations, granular permissions, process management and a full audit trail. Wdesk users are able to combine narrative with their data, which greatly improves insight in their financial, regulatory and management reporting processes.
