Davis Polk partner and Tax practice head David Schnabel and partners Ethan Goldman and Corey Goodman will be among the speakers at Practising Law Institute’s “Tax Planning for Domestic & Foreign Partnerships, LLCs, Joint Ventures & Other Strategic Alliances 2025” program.

The program will be held in Chicago from April 22-24, 2025, and in New York on May 6-8, 2025.

David will speak on the “Topside Planning for, and Passthrough Investments by, Private Equity Funds” panel at each program. Topics discussed will include planning strategies to accommodate tax objectives of fund managers and investors, how to identify issues raised in cross-border investing and how to plan private equity transactions and exit strategies.

Ethan will speak on the “Compensatory Interests and Other Arrangements” panel at the New York program. Topics discussed will include different types of profits, interests and modifications, tax consequences of receiving a capital or profits interest in a partnership in exchange for services, Section 1061 provisions that apply to certain carried interests and drafting issues.

Corey will speak on the “Umbrellas of Subchapter K” panel at the Chicago program. Topics discussed will include umbrella partnership real estate investment trust (UPREIT) and umbrella partnership C corporation (UP-C) structures, situations in which a partnership will be characterized as a publicly traded partnership (PTP) and how to draft effective tax receivable agreements.
