The convertible notes are due 2029

Davis Polk advised the representatives of the initial purchasers in a Rule 144A offering by Alarm.com Holdings, Inc. of $500 million aggregate principal amount of 2.25% convertible senior notes due 2029, including $75 million principal amount of convertible notes pursuant to the exercise in full of the initial purchasers’ option to purchase additional convertible notes. Alarm.com Holdings’ common stock is listed on the Nasdaq Global Select Market under the symbol “ALRM.” In addition, Davis Polk advised counterparties to capped call transactions in connection with the offering.
