Albemarle $2.3 billion depositary share offering
The depositary shares represent an interest in the company’s 7.25% convertible preferred stock
Davis Polk advised the representative of the several underwriters in connection with the $2.3 billion SEC-registered offering of 46,000,000 depositary shares by Albemarle Corporation, including the full exercise by the underwriters of their option to purchase 6,000,000 additional depositary shares. Each depositary share represents a 1/20th interest in a share of Albemarle Corporation’s 7.25% Series A mandatory convertible preferred stock.
