Davis Polk advised Fandango on its acquisitions of Flixster and Rotten Tomatoes from Warner Bros. Entertainment Inc. As part of the transaction, Warner Bros. Entertainment will take a minority ownership stake in Fandango and serve as an ongoing strategic partner.
Fandango, a unit of NBCUniversal, is the leading provider of online and mobile movie tickets in the United States. Flixster, a leading platform for discovering, collecting and watching movies, is one of the most downloaded entertainment mobile apps. Rotten Tomatoes is an online aggregator of theatrical and in-home movie and TV reviews from critics and fans.
