Davis Polk advised the underwriters in connection with the $100.6 million secondary offering of 6,346,105 shares of common stock of Sun Country Airlines Holdings, Inc. by an affiliate of certain investment funds managed by affiliates of Apollo Global Management, Inc. Sun Country Airlines is listed on the Nasdaq Global Select Market under the symbol “SNCY.”

Sun Country Airlines is a new breed of hybrid low-cost air carrier that dynamically deploys shared resources across its synergistic scheduled service, charter and cargo businesses. Based in Minnesota, Sun Country Airlines focuses on serving leisure and visiting friends and relatives passengers; serving charter customers; and providing crew, maintenance and insurance service to Amazon. It has flights throughout the United States and to destinations in Canada, Mexico, Central America and the Caribbean.
