Nestlé Holdings $3 billion notes offering
The investment-grade debt offering is composed of four tranches
Davis Polk advised the joint book-running managers and representatives of the several initial purchasers in connection with the Rule 144A / Regulation S notes offering by Nestlé Holdings, Inc. of $1 billion aggregate principal amount of 5.250% notes due 2026, $850 million aggregate principal amount of 5.000% notes due 2028, $500 million aggregate principal amount of 4.950% notes due 2030 and $650 million aggregate principal amount of 4.850% notes due 2033. The notes are guaranteed by Nestlé S.A., the indirect parent company of the issuer.
