Truist sale of Sterling Capital Management to Guardian Capital
We are advising Truist on the transaction
Davis Polk is advising Truist Financial Corporation in connection with the sale of Sterling Capital Management LLC to Guardian Capital LLC, a wholly owned subsidiary of Guardian Capital Group Limited. The financial terms of the transaction include a payment of $70 million on closing to purchase 100% of the equity capital of Sterling, subject to customary purchase price adjustments and future earn-out incentives. The transaction is expected to close in the second quarter of 2024, subject to customary consents and approvals for transactions of this nature.
